AGREEMENT TO OFFICIAL RULES: Participation in the “MONTHLY PLAY AND WIN CONTEST” (the “Promotion”) constitutes Entrant’s (defined below) full and unconditional agreement to and acceptance of these Official Rules and the decisions of Administrator (as defined below), which are FINAL AND BINDING in all respects. RULES ARE SUBJECT TO CHANGE WITHOUT NOTICE. Winning a prize is contingent upon fulfilling all requirements set forth herein.

CONTEST PERIOD: May 1, 2024 to December 31, 2024.
CONTEST PLATFORMS: Stadium mobile application available in the iOS and Android stores and the Stadium website at URL https://watchstadium.com.
ELIGIBILITY: The Monthly Play and Win Contest is open to: (i) legal residents of the United States; (ii) who at the time of participation, are at least Eighteen (18), Nineteen (19) in Nebraska and Alabama and Twenty-one (21) years of age or older in Mississippi; (iii) successfully complete a registration form; and (iv) complete the Prize Acceptance Requirements (defined below). Only one (1) individual may be identified as an entrant (each, an “Entrant”).
EXCLUDED PERSONS: All directors, officers, volunteers and employees of 120 Sports LLC ("Administrator"), and each of its respective companies, subsidiaries, affiliates, sales representatives, distributors, licensees, agents, advertising and promotion agencies, and each of their immediate family members (spouses, parents, children and siblings, and their respective spouses), and those living in the same household as each, are not eligible to participate in or win any prize in the Promotion.
ODDS OF WINNING: The odds of winning a prize will depend on the number of games played by a given Entrant and the subsequent points earned and accumulated by an Entrant during an Applicable Monthly Game versus all other eligible Entrants during an Applicable Monthly Game.
HOW TO ENTER: To enter the Contest, Entrants must download and/or access the Stadium mobile application (which is available in both the iOS and Android stores) or go to https://watchstadium.com, and register or login to their “User Account” by clicking the “Sign up or Login” button on the home page. It is free to register for a User Account. Register for a User Account by entering your phone number and username. Click “Games” or “Play” in the “Live” menu to enter the Game Center. Existing valid User Accounts will be automatically eligible and entered into the Contest once the Entrant logs in and begins playing games in the Game Center. All games available in the Game Center are eligible and the points accumulated by Entrants playing such games count towards each Applicable Monthly Game during the Monthly Play and Win Contest Period. No mechanically reproduced or completed entries will be accepted. Entrants will have the option to receive additional communications and promotional emails from the Company.
An Entrant will become eligible for an Applicable Monthly Game on the first day during the respective Applicable Monthly Game that an Entrant “plays” an available game in the Game Center. Entrants can play as many games that are available in the Game Center to accumulate points during each Applicable Monthly Game. In order for an Entrant to become eligible for the next Applicable Monthly Game during the Contest Period, the Entrant must play a game from the Game Center during the next Week’s Applicable Monthly Game. The more Bally Bucks that an Entrant earns by playing games will increase his/her chance of winning.
Each Entrant is limited to only one (1) User Account from among all of the participating Contest Platforms (Mobile Applications and Websites). An Entrant will be disqualified if they are found to have entered the Contest more than once under separate User Accounts, or on more than one participating Mobile Application or Website.
Multiple Entrants are not permitted to share the same email address or User Account. Any attempt by any Entrant to obtain more entries by using multiple/different email addresses, User Accounts, identities, registrations and logins, or any other methods will void such Entrant’s plays and such Entrant will be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration or play, the authorized account holder of the email address used to register for the User Account will be deemed to be the Entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.
Eight (8) Applicable Monthly Games will be conducted during the Contest Period. Each Applicable Monthly Game opens at 12:00 a.m. EDT on the 1st day of the month and closes at 11:59 p.m. EDT on last day of the month. Entries for each Applicable Monthly Game are due at 11:59 p.m. ET on the following dates: May 31, June 30. July 31, August 31, September 30, October 31, November 30, December 31.
WINNER SELECTION: On each Winner Selection Date, one (1) winner will be determined among all valid Entrants who participated in an Applicable Monthly Game during the Play and Win Contest Period. The winner selected will be the eligible Entrant with the most “Bally Bucks” (a points system within the Game Center that awards users with Bally Bucks for playing games) accumulated at the close of each Applicable Monthly Game. The Bally Bucks accumulated for each Entrant during an Applicable Monthly Game will not carry over to the next Applicable Monthly Game. Entrants will receive a pre-determined amount of Bally Bucks for each game that an Entrant plays in the Game Center during the Applicable Monthly Game. The number of points awarded will be shown on the Entrant’s dashboard and Entrants may view his/her score on the Applicable Monthly Game leaderboard. In the event there is a tie between two or more Entrants at the close of an Applicable Monthly Game, the tiebreaker will be the total overall amount of Bally Bucks (overall total Bally Bucks includes points awarded to an account holder for other activities performed by a user on the mobile application or website beyond just playing games in the Game Center) that each Entrant has in their user account at the time the Applicable Monthly Game closes.
The total Number of Winners for the Monthly Play and Win Contest Period (April 15, 2024 to December 29, 2024) will be Thirty=-Eight (38) first place winners, one (1) winner for each of the 38 Applicable Monthly Games.
PRIZES AND VALUES: There will only be one (1) weekly first place prize winner for each Applicable Monthly Game. The First Place Prize for each Applicable Monthly Game will be one (1) $250 gift card sent via Giftogram. A Giftogram gift card allows recipients to choose their preferred gift. The gift card will be delivered digitally via email and the recipients will redeem their Giftogram for their choice of a digital gift card from 200+ popular retailers, restaurants, and services (https://giftogram.com/).
Prizes are provided “as is” without any express or implied warranty of any kind including warranties of merchantability, non-infringement or intellectual property, or fitness for any particular purpose. Prizes are subject to the Sponsor(s) and/or Prize Distributor’s standard terms and conditions, and expiration dates.
All potential winners are subject to verification by the Company. An Entrant must enter or deliver a valid email address to receive the one (1) $250 Giftogram Prize. An Entrant is not a winner of any prize, unless and until Entrant’s eligibility has been verified by the Company. Any system or winner selection failure or error which occurs for any reason shall be deemed defective and void.
WINNER NOTIFICATION AND VERIFICATION: Applicable Monthly Game Prize Winners will be determined at the conclusion of each Applicable Monthly Game during the Contest Period on the following dates: June 1, July 1, August 1, September 1, October 1, November 1, December 1, December 31.
Total Number of Winners for the Contest Period: Eight (8) first place winners during the complete Contest Period (May 1, 2024 to December 31, 2024).
Each Applicable Monthly Game Winner will be notified by email or phone using the information listed on their Account within twenty-four (24) hours (“Prize Notification”). The Prize Notification will include instructions on any actions the Winner must complete to claim the Prize. Except where prohibited by law, this may include (i) providing documents and information to help us verify the Winner’s identity and eligibility to win the Prize (such as a valid proof of ID and address in the form of a passport, driver’s license and/or household bills); (ii) completing and signing any other documentation required by us, including an Affidavit of Eligibility, Publicity Release and Liability Waiver, and/or IRS Form 1099,where applicable, (the “Winner’s Agreement”) (collectively, the “Prize Acceptance Requirements”) within twenty-four (24) hours of date of issuance. Each Entrant understands that Administrator or its respective agents may advise the United States Internal Revenue Service (“IRS”) of the value of the Prize awarded to Entrant from Entrant’s participation in the Promotion in the form of an IRS Form W-9, or otherwise. Entrant must currently be a legal resident of the United States to be awarded any prize. Entrant understands that prior to being entitled to receive any prize, and prior to receiving any prize, Entrant will first provide Administrator with all of Entrant’s applicable taxpayer identification information and other required and reasonably requested tax and tax-related documentation (e.g., IRS Form 1099), and that Entrant’s failure to provide such information to Administrator will result in Entrant’s automatic ineligibility to receive any prize.
In the event: (a) such Entrant declines the prize in writing, (b) the Prize Acceptance Requirements are not met; (c) the Winner’s Agreement and/or tax-related documents, as applicable, are not returned within the time period stated above, (d) Prize or Prize Notification is returned as undeliverable, (e) the Administrator is unable to contact the Winner within a reasonable time period, or (f) the Winner is not otherwise in compliance with these Official Rules, the Prize will be forfeited and, at Administrator’s sole discretion and time permitting, Administrator may select an alternate winner from all remaining eligible Entrants. There will be three (3) alternate selections for the Prize after which such Prize will remain un-awarded.
PRIZE FULFILLMENT: The Prize will be fulfilled within approximately seventy-two (72) hours via electronic transmission after the Prize Acceptance and requisite verification requirements as outlined above have been met. Limit one (1) Prize per person/per Authorized Account Holder (defined below)/per household. "Authorized Account Holder" is defined as “the natural person who is assigned to the e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.” In the event of a dispute as to any e-mail entry submitted, e-mail entries submitted will be deemed made by the Authorized Account Holder of the e-mail address submitted during the registration process at the time of entry. Proof of being the Authorized Account Holder may be required. There will be no substitutions or cash alternatives for any prize except at the sole discretion of the Company. The Company has the right to substitute a prize of similar value. No sale, transfer or assignment of any prize is allowed. Entrants are eligible to win only one prize within any 30-day period, regardless of the number of contests entered.
TAXES AND EXPENSES: Each winner is responsible for paying all local, county, state and federal taxes on prizes based on the estimated retail value of the prizes as set forth in these rules. Each winner must sign a W-9 form.
CONDITION/USE RIGHTS: Except where prohibited by law, by accepting any prize, each Entrant consents to Administrator and each of its respective parents, subsidiaries, affiliates, directors, owners, members, governors, officers, sponsors, employees and agents right to print, publish, broadcast and use worldwide in any media now known or hereinafter known, the Winner’s name, address, voice, statement, picture or other likeness, without additional compensation (other than the specific Prize described herein), for public relations, advertising and promotional purposes as may be determined by Administrator.
RELEASE AND LIMITATIONS ON LIABILITY: As a condition of participating in the Promotion, Entrants agree to release and hold harmless all directors, officers, volunteers and employees of Administrator, and each of its respective parent companies, subsidiaries, affiliates, sales representatives, distributors, licensees, agents, advertising and Promotion agencies (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion, or receipt or use of any prize, including the Prize, and including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, misdirected, incorrect, garbled, or incompletely received entries; (e) errors in the administration of the Promotion or the processing of entries; (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Promotion or acceptance, receipt, use, or misuse of any prize, or travel to any Promotion-related events; and (g) any claims based on publicity rights, copyright/trademark infringement, intellectual property rights, defamation, invasion of privacy, or merchandise delivery. Entrant further agrees to release the Released Parties and their designees and assigns from any liability whatsoever, and to waive any and all causes of action, for any claims, costs, injuries, losses and damages of any kind arising out of or in connection with the Promotion or acceptance, possession, or use of any prize (including, without limitation, attorneys’ fees, claims, costs, personal injuries, losses and damages related to personal injuries, death, damage to or destruction or property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. Administrator is not responsible if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. Failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
CANCELLATION/SUSPENSION: If for any reason the Promotion is impaired in any way for any reason, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of Entrants, technical failures or any other causes which in the opinion of Administrator, in its sole discretion, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, Administrator reserves the right at its sole discretion to cancel, terminate, modify, or suspend the Promotion. If Administrator decides to reconvene the Promotion after a suspension, the determination of the prize winner(s) will be made from among all eligible, non-suspect entries received as of the date of the suspension, as Administrator determines at its sole discretion.
DISQUALIFICATION: Failure to comply with these Official Rules may result in disqualification. Administrator reserves the exclusive right to disqualify any Entrant or any other individual from the Promotion that it finds, in Administrator’s sole discretion, to be tampering with the entry process, or the operation of the Promotion, to be acting, or be, in violation of the Official Rules; or to be acting in an unreasonable, non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or interfere in any manner with any aspect or portion of this Promotion. Any use of robotic, automatic, macro, programmed, copied, or like entry methods, shall void all such entries by any such methods, and shall disqualify any Entrant using such methods from the current Promotion and any future promotions. CAUTION: Any attempt by an Entrant or any other individual to deliberately damage or undermine the legitimate operation of the Promotion may be a violation of state and/or federal criminal and civil laws and, should such an attempt be made, Administrator reserves the right to cooperate in the prosecution of any such individual(s) and to pursue all remedies to the fullest extent permitted by law.
DISPUTE RESOLUTION AND CHOICE OF LAW: Except where prohibited, Entrants agree that: (a) any and all disputes, claims, and or causes of action arising out of or relating to this Promotion, or any prizes awarded, including the Prize, or the administration of the Promotion, or the determination of the Winner, shall be resolved, individually, without resort to any form of class action lawsuit, and exclusively by arbitration, to take place in Chicago, Illinois pursuant to the Commercial Arbitration Rules and Mediation Procedures of the American Arbitration Association, then effective; (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but SHALL NOT include attorneys’ fees; and (c) under no circumstances will an Entrant be permitted to obtain awards for and Entrants hereby waive all rights to claim indirect, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of Entrants and the Administrator in connection with this Promotion, shall be governed by, and construed in accordance with, the laws of the State of Delaware, excluding Delaware’s conflicts of law doctrine.

MISCELLANEOUS: By entering this Promotion you agree and acknowledge that you may be contacted in the future by the Administrator, and each of its respective parents, subsidiaries, affiliates, directors, owners, members, governors, officers, sponsors, employees and agents.
PRIVACY: By participating in the Promotion, Entrant authorizes Administrator to collect, use, process, transfer and store all data provided by Entrant, including without limitation, personal data, to the United States, or any location(s) throughout the world that such parties deem necessary, whether within Entrant's country of residence or elsewhere, and with such party(ies) as Administrator deems appropriate, for purposes of administration of the Promotion. All information submitted to Administrator as part of this Promotion will be treated in accordance with Administrator’s privacy policy, https://watchstadium.com/privacy-policy/. Personal information will be used only to: (a) provide information about the Promotion; (b) contact and publicize potential winners; and/or (c) if an Entrant requests to receive additional information from Administrator, to send additional information to that Entrant during or after the Promotion Period (Entrant may opt out at any time from receiving additional information from Administrator in accordance with Administrator’s privacy policy). Entrants to the Promotion may be given the option to receive commercial e-mails from the Administrator; however, eligibility to participate in the Promotion is not dependent upon Entrant’s consent to receive such e-mails. Entrants must fully complete and submit all non-optional data requested on the entry forms to be eligible. Entrants have the right to withdraw and correct their personal data, but Entrants are not allowed to re-submit their entries. Directions on procedures for submitting corrections to personal data are provided in the privacy statements of the Administrator.
